These Terms govern participation in the XO Labs USA affiliate program (the “Program”). By submitting an application or participating, you (“Affiliate,” “you”) agree to these Terms with XO Labs USA (“XO Labs,” “we,” “us”). We record the version and time of your acceptance.
1. The products.
XO Labs sells research compounds strictly for laboratory research use only — not for human or veterinary consumption. This fact controls everything you may say while promoting us. If you are not comfortable marketing within that boundary, do not join the Program.
2. Eligibility.
You must be 21 or older, able to form a binding contract, and truthful in your application. We may approve, decline, or later suspend or remove any account at our discretion. You are an independent contractor — nothing here creates employment, agency, or partnership, and you may not make commitments on our behalf.
3. How the Program works.
On approval you receive a personal referral link and, where assigned, a coupon code. Qualifying purchases attributed to you under Section 7 earn a commission at the rate shown in your affiliate dashboard. Your dashboard is the authoritative record of your links, codes, rates, attributed orders, and balances.
4. Absolute content rules (the compliance clause).
When promoting XO Labs in any medium, you must not — in text, image, video, audio, hashtag, implication, testimonial, or repost:
- make or imply any medical, therapeutic, health, safety, or benefit claim about any product;
- provide or imply dosage, usage, intake, reconstitution, or “how to take” guidance of any kind;
- state or imply that any product diagnoses, treats, cures, or prevents any condition, or is approved or endorsed by the FDA or any regulatory body;
- depict, describe, or encourage human or veterinary consumption, including personal use stories, “results,” or before/after content;
- make purity, testing, or certification claims beyond wording we publish ourselves (for example, “Certificates of Analysis are available on request” is permitted; percentages and guarantees are not);
- market to anyone under 21, or target audiences based on health conditions.
Using only our approved marketing materials and product descriptions (Section 5) keeps you inside these rules automatically. A violation of this section is grounds for immediate termination and forfeiture of unpaid commissions.
5. Brand and materials.
We license you, revocably and only while you are in the Program, to use the marketing materials, product images, descriptions, and logos provided in your dashboard, unmodified. You may not alter our materials, create your own product claims, register domains, subdomains, social handles, or app names containing “XO Labs” or confusingly similar terms, or present your channel as an official XO Labs property.
6. Advertising channels.
Permitted: your own websites, social channels, email lists you lawfully own, printed materials, and in-person referral. Prohibited: spam in any medium; purchased or incentivized fake traffic; coupon-aggregator or deal sites unless we approve your code for it in writing; marketplaces (e.g., Amazon, eBay); channels directed at minors; unlawful or deceptive placements; and paid search bidding on “XO Labs,” misspellings of it, or ads implying you are the official site. Generic paid advertising that follows Sections 4–5 is permitted.
7. Attribution.
A qualifying order is attributed to you when (a) it uses your assigned coupon code, or (b) it follows a click on your referral link within the attribution window shown in your dashboard (currently 30 days), where the most recent valid click wins. A valid affiliate coupon takes precedence over a link click. One affiliate commission exists per order, ever. We are the final arbiter of attribution in disputed or technically ambiguous cases, and cookie-based tracking has inherent limits (cleared cookies, cross-device journeys) that we cannot cure.
8. Disclosure (FTC).
You must clearly and conspicuously disclose your material connection to XO Labs wherever you promote us — for example “#ad” or “I earn a commission from purchases through my link” — placed where a viewer sees it before engaging with your link or code, in every medium including social posts, stories, video, and print.
9. Commissions.
Commissions are calculated on the order’s merchandise total after discounts, excluding shipping and taxes. A commission is recorded as Pending when the attributed order is paid, becomes Approved after the 30-day holding period, and is Reversed if the order is refunded, cancelled, charged back, or found fraudulent. If that happens after payout, the dashboard records a visible recovery-needed amount for staff reconciliation; it is not silently removed from the historical payout. Excluded from commission: your own purchases and those of your household (Section 10), orders we exclude by policy (shown in your dashboard where applicable), and orders violating these Terms.
10. Self-referrals and fraud.
You earn nothing on your own orders or orders you place for others through your own link or code. Prohibited and grounds for immediate termination with forfeiture: fake or incentivized orders, stolen payment instruments, forced or automated clicks, cookie stuffing, misrepresenting our prices or discounts, unauthorized distribution of your coupon code, and any manipulation of the tracking system. We review flagged activity before approving commissions and may withhold amounts under investigation.
11. Payouts.
Approved balances at or above the payout threshold shown in your dashboard (currently $50) are paid monthly by the manual method agreed with us (e.g., PayPal, bank transfer, check). You must provide accurate payout details, and for U.S. persons a completed W-9 on request; you are responsible for your own taxes. We may offset reversals against any balance.
12. Customer data and privacy.
Customers attributed to you remain XO Labs customers. Your dashboard shows only limited, partially masked order information; you may not attempt to identify, contact, scrape, or build lists of our customers, and you must handle anything you do see confidentially.
13. Term and termination.
Either party may end participation at any time, with or without cause. On termination your links and codes deactivate. If we terminate for a violation of Sections 4, 6, or 10, unpaid commissions are forfeited. Otherwise, Approved commissions earned before termination are paid on the normal cycle after the holding period. Sections 4, 5, 12, and 14–15 survive termination.
14. Changes.
We may update these Terms or Program mechanics (rates, windows, thresholds) prospectively. Material changes are announced through the Program (dashboard notice or email), and continued participation after the stated effective date is acceptance of the new version. The version you accepted is always recorded.
15. Legal.
The Program is provided “as is” — we do not guarantee earnings, uptime, or tracking perfection. To the maximum extent permitted by law, our total liability to you under the Program is limited to your unpaid Approved commissions. These Terms are governed by the laws of the State of California, and disputes will be resolved in the courts located there. If any provision is unenforceable, the rest remain in effect.
